The summary orients you; the numbered sections and your signed order control.
01Scope of these terms
Partners may refer customers, help configure workspaces, or provide customer services under a written agreement or approved partner plan. These terms apply to all partner activity; where a signed partner order is more specific, the order controls for that engagement.
Partnership does not create an agency, employment, or joint-venture relationship. Partners may not make commitments on Cuadrila's behalf, including commitments about features, pricing, uptime, or security practices beyond what Cuadrila publishes.
02Eligibility & onboarding
- Partners apply through the partner program page and are accepted into a named tier.
- Partners delivering implementation services must complete the onboarding checklist for their tier, including the approval-gate and receipt-model training.
- Cuadrila may decline or re-tier applications at its discretion; tier benefits are described on the program page and in the partner order.
03Referrals & commissions
Referral eligibility, commissions, payout timing, clawbacks, and attribution windows should be defined in a signed partner order or program document. The indicative schedule below is illustrative for this prototype; the signed order always controls.
| Tier | Revenue share | Attribution window | Payout cadence |
|---|---|---|---|
| Referral | 15%, first year | 90 days | Quarterly |
| Solutions | 20%, first year | 180 days | Monthly |
| Embedded | 25%, first year | 365 days | Monthly |
- Attribution follows the registered referral; conflicting claims resolve to the earliest valid registration.
- Commissions accrue on collected revenue only and may be clawed back for refunds or chargebacks.
- Payouts under a minimum threshold roll into the next cadence period.
Register the referral, get paid on what the customer actually pays, on the schedule in your order.
04Co-selling & implementation services
Partners providing configuration or managed services act as the customer's service provider, not Cuadrila's. Partners must:
- Configure approval gates and boundary settings conservatively by default, loosening them only on the customer's documented instruction.
- Leave the customer's receipts intact — partner work is itself recorded in workspace receipts.
- Hand over administrative control to the customer at the end of an engagement.
05Brand use
Partners may use Cuadrila marks only as permitted by written brand guidelines and must not imply endorsement beyond the active partner relationship.
- Permitted: the partner badge for your current tier, accurate "works with Cuadrila" statements, and approved co-marketing materials.
- Not permitted: modified logos, Cuadrila-branded domains or ad accounts, claims of certification beyond your tier, or use of the marks after the relationship ends.
06Customer data & confidentiality
Partners must protect customer data, use it only for authorized services, and promptly report suspected unauthorized access or misuse to the customer and to security@cuadrila.com.
- Access customer workspaces only with the customer's authorization, scoped to the engagement.
- Do not copy workspace content, crew memory, or receipts outside the engagement's authorized tools.
- Return or delete customer data when the engagement ends, and confirm deletion on request.
- Non-public program information — pricing schedules, roadmaps, partner materials — is confidential.
07Compliance & conduct
- Comply with applicable law, including anti-spam, telemarketing, privacy, and anti-corruption rules in every market you sell into.
- Do not misrepresent AI involvement to end customers; disclosure rules in the terms of service flow through to partner-led deployments.
- Do not bid on Cuadrila trademarks in paid search or register confusingly similar names.
08Term, suspension & termination
Either party may end the partner relationship with notice as set in the partner order. Cuadrila may suspend or terminate immediately for material breach, misuse of customer data, or brand misuse. On termination, mark use stops, confidential materials are returned or deleted, and earned, uncontested commissions are paid out per the final order's schedule.
09Changes
We may update these terms and the program tiers as the partner program evolves. Material changes should be announced to active partners in advance, and the "last updated" stamp at the top of this page records the current revision. Changes do not retroactively alter commissions already earned under a signed order.
