Terms of Service

Cuadrila provides software that helps customers configure role-trained AI coworkers, workspace memory, approval gates, and receipts. The service includes the crew you staff, the workroom where work is planned and reviewed, the playbook that stores accepted knowledge, and the receipts that record what was done, why, and with which sources.

Cuadrila is a tool that prepares and organizes work. Customers are responsible for deciding whether outputs are appropriate for their business, their industry, and their legal obligations. Features described on marketing pages of this prototype are illustrative and may differ from a production offering.

You must provide accurate account information, protect your credentials, and use Cuadrila only for lawful business purposes. You are responsible for everything that happens in your workspace, including connected tools, content submitted by workspace members, and the boundary and approval settings you choose.

• Workspace administrators control member seats, coworker scopes, approval policies, and data exports.
• You must notify us promptly of any suspected unauthorized access to your account or workspace.
• One person may not share a single set of credentials across multiple people; seats are per person.

You agree not to misuse the service. Without limiting the previous sentence, you must not:

• Use the crew to send spam, deceptive messages, or unlawful communications.
• Present AI-generated communications as a specific human person where disclosure is legally required.
• Circumvent, disable, or instruct coworkers to bypass approval gates, scopes, or rate limits.
• Upload content that infringes the rights of others or that you have no right to use.
• Probe, scan, or test the vulnerability of the service except through our published security-reporting channel.

AI outputs may be inaccurate, incomplete, or unsuitable for your purpose. Review outputs before external publication, before sending them to customers, before relying on them as professional advice, and before making material business commitments based on them.

Receipts attach sources to claims, and review states flag risk — but receipts and review states are aids to your judgment, not substitutes for it. Outputs are not legal, financial, medical, or other professional advice.

External actions — sends, publishes, bookings, and claims — are approval-gated by default, and approvals fail closed: if an approval request expires, is superseded, or the underlying action changed after you saw it, the action does not execute. You may loosen or tighten these policies per workspace; doing so is your decision and your responsibility.

• Receipts record the action, the owner, the "why now," the sources used, and the final approval state.
• Receipts are retained in your workspace on the schedule you configure and export with your data.
• Boundary settings (what a coworker may never do) take precedence over any instruction given in chat.

You retain ownership of the content you submit and, to the maximum extent permitted by law, of the outputs the crew produces for your workspace. You grant Cuadrila a limited license to host, process, and display that content solely to provide and secure the service.

Workspace memory — the facts, decisions, and receipts the crew keeps — belongs to your workspace, exports with you, and is not used to train models shared with other customers.

Coworkers act through tools you connect — email, calendar, phone, documents, your site, and your social accounts. Each connection is scoped to the role that needs it. Your use of a connected tool remains governed by that tool's own terms, and you are responsible for having the right to connect it.

You can see, narrow, or revoke every scope from Mission Control at any time. Revoking a scope stops new actions through it but does not undo actions already approved and executed.

Paid plans renew according to the selected billing period unless canceled before renewal. Fees, taxes, refunds, trials, and plan limits should be shown at checkout or in an order form, and the checkout terms control where they are more specific than this page.

• Quarterly billing is the default rhythm shown on the pricing page; monthly and annual options may be offered at checkout.
• Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
• Downgrades take effect at the next renewal; usage above plan limits may be paused or billed as described at checkout.

You may cancel at any time, effective at the end of the current billing period. Trials convert to paid plans only as disclosed when the trial starts. We may suspend or terminate workspaces that materially breach these terms, create security risk, or fail to pay, with notice where practicable.

After termination you should have a reasonable export window — at least 30 days in this prototype design — to retrieve workspace content, memory, and receipts before deletion.

The prototype service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Cuadrila does not warrant that outputs will be accurate or that the service will be uninterrupted.

Production terms should specify a limitation of liability (commonly a cap tied to fees paid in the preceding twelve months), exclusions for indirect and consequential damages, and any mutual indemnity obligations. This prototype flags those sections rather than asserting final language.

We may update these terms as the service evolves. For material changes we should give advance notice — by email and by a notice in the workspace — before the changes take effect. Continued use after the effective date constitutes acceptance. The "last updated" stamp at the top of this page records the current revision.

These prototype terms are drafted for a California-based service concept. Production terms should specify governing law, venue, dispute-resolution procedures, limitation of liability, indemnity, and any required arbitration or class-action terms, and should address consumer-law variations by region.
